Important: These Terms govern use of our website and general engagement with Trustify Partners. Specific commercial terms for recruitment services are set out in individual Service Agreements and Proposals, which take precedence over these Terms where there is any conflict.
1. Definitions
In these Terms of Service, the following definitions apply:
- "Trustify Partners", "we", "us", "our" refers to Trustify Partners and its consultants.
- "Client" refers to any company or organization that engages Trustify Partners to provide recruitment or HR services.
- "Candidate" refers to any individual whose details are submitted to Trustify Partners or introduced to a Client for employment consideration.
- "Placement" means the engagement of a Candidate by a Client in any capacity — permanent, fixed-term, contract, or otherwise — as a result of Trustify Partners' introduction.
- "Introduction" means the provision of a Candidate's details or profile to a Client by Trustify Partners.
- "Service Agreement" means any signed proposal, letter of engagement, or separate commercial agreement between Trustify Partners and a Client, which governs the specific terms of a recruitment engagement.
- "Guarantee Period" means the period following a Placement during which the replacement guarantee applies, as specified in the relevant Service Agreement.
2. Scope and Acceptance
These Terms of Service apply to: (a) use of the Trustify Partners website at trustifypartners.com; and (b) any engagement with Trustify Partners in the absence of a separately executed Service Agreement.
By using our website, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Where a Client has executed a separate Service Agreement with Trustify Partners, the terms of that Service Agreement take precedence over these general Terms in the event of any conflict or inconsistency.
3. Our Services
Trustify Partners provides the following recruitment and HR services, subject to the terms of individual Service Agreements:
- Executive Search: Confidential, research-driven identification and assessment of senior leadership talent.
- Contingency & Mid-Level Recruitment: Success-based recruitment for professional and management-level roles.
- Talent Mapping & Market Intelligence: Research and intelligence services on talent pools and compensation benchmarks.
- Reference & Background Checks: Structured verification of candidate credentials and professional history.
- Mass Recruitment: High-volume hiring campaigns managed end-to-end.
- Recruitment Process Outsourcing (RPO): Embedded recruitment operations delivered under the Client's brand.
- Contract Staffing & Payroll: Placement of professionals on fixed-term engagements with full payroll administration.
- Employer of Record (EOR): Compliant employment of staff where the Client does not have a local legal entity.
The specific scope, deliverables, fees, and timelines for each engagement are set out in the relevant Service Agreement or written proposal.
4. Client Obligations
Clients engaging Trustify Partners agree to:
- Provide accurate and complete information regarding the role, requirements, and organizational context at the outset of each engagement.
- Notify Trustify Partners promptly of any changes to the role requirements, hiring status, or organizational circumstances that may affect the engagement.
- Treat all Candidate information as strictly confidential and use it only for the purpose of evaluating the Candidate for the specific role briefed.
- Not approach, solicit, or engage any Candidate introduced by Trustify Partners for any role other than the one for which they were introduced, without Trustify Partners' prior written consent.
- Inform Trustify Partners of any offer made to, or acceptance by, a Candidate within 48 hours of such event.
- Pay fees in accordance with the Service Agreement and in a timely manner.
- Comply with applicable employment law in relation to any Candidate placed.
If a Client engages a Candidate introduced by Trustify Partners in any capacity — including through a third party — within 12 months of the introduction, the standard placement fee applies.
5. Candidate Terms
By submitting your details to Trustify Partners, you confirm that:
- All information provided is accurate, complete, and up to date.
- You consent to Trustify Partners holding your personal data in accordance with our Privacy Policy.
- You consent to your profile being presented to specific Clients as discussed and agreed with your consultant.
- You will notify us immediately if your circumstances change materially (including acceptance of an offer from another party) while an active search is underway.
- You will not misrepresent your qualifications, experience, or right to work.
Trustify Partners acts as an intermediary between Candidates and Clients. We do not guarantee employment outcomes for any Candidate, and engagement of our services does not create an employment relationship between Trustify Partners and any Candidate.
6. Fees and Payment
6.1 Fee Structure
Fees for recruitment services are set out in the applicable Service Agreement or written proposal. In the absence of a specific Service Agreement, the following general principles apply:
- Fees for contingency and executive search are calculated as a percentage of the Candidate's gross annual package or as a fixed amount, as agreed in writing prior to commencing the search.
- Fees for mass recruitment, RPO, and contract staffing are structured as agreed in writing and may include per-placement fees, monthly management fees, or both.
- All fees are quoted exclusive of applicable taxes, including VAT.
6.2 Invoicing and Payment
- Invoices for permanent and contingency placements are issued within seven (7) calendar days of the Candidate's start date.
- Payment is due within seven (7) calendar days of the invoice date, unless otherwise agreed in the Service Agreement.
- Bank transfer charges are borne by the Client.
6.3 Late Payment
Overdue amounts accrue interest at a rate of 1% per month on the outstanding balance. An additional late payment fee of 0.05% per day may apply from the date the payment becomes overdue. Trustify Partners reserves the right to suspend active engagements until overdue amounts are settled.
6.4 Disputes
Fee disputes must be raised in writing within seven (7) days of receipt of invoice. Undisputed portions of any invoice remain payable by the due date.
7. Replacement Guarantee
Trustify Partners provides a replacement guarantee on placements as follows, unless otherwise specified in the Service Agreement:
- Executive placements (C-suite, VP, equivalent): 60 calendar days from the Candidate's official start date.
- Director and senior management placements: 60 calendar days from the Candidate's official start date.
- Professional and mid-level placements: 30 calendar days from the Candidate's official start date.
- Volume / mass recruitment placements: 30 calendar days from the Candidate's official start date.
7.1 Conditions
The replacement guarantee applies only where:
- The Client has paid all fees in full and on time.
- The Candidate's employment is terminated by either party during the Guarantee Period, except in the circumstances listed below.
- The Client notifies Trustify Partners in writing within seven (7) days of the Candidate's departure.
7.2 Exclusions
The replacement guarantee does not apply where the Candidate's departure is due to:
- Redundancy or significant change in the role arising from the Client's business decisions.
- Annual leave, sick leave, maternity or paternity leave.
- Misconduct, fraud, or material misrepresentation by the Client.
- The Client's failure to provide an appropriate working environment or to honor the terms of the offer letter.
7.3 Replacement Process
Where the guarantee applies, Trustify Partners will conduct one (1) replacement search at no additional fee, using reasonable efforts consistent with the original engagement. The replacement search does not extend the original Guarantee Period.
8. Confidentiality
Both parties agree to maintain strict confidentiality with respect to:
- All Candidate information, including CVs, profiles, salary details, and personal data.
- All Client information, including organizational structure, hiring plans, compensation benchmarks, and commercial terms.
- The existence and terms of any Service Agreement between the parties.
Neither party will disclose confidential information to any third party without the prior written consent of the other party, except as required by law or as necessary to perform the services.
This confidentiality obligation survives termination of any Service Agreement and continues for a period of three (3) years thereafter.
9. Off-Limits Policy
Trustify Partners operates a strict off-limits policy for active Client companies. During the term of any active Service Agreement and for a period of twelve (12) months following its conclusion, Trustify Partners will not:
- Solicit, approach, or recruit any employee of the Client for placement with any other organization.
- Introduce any current employee of the Client to another organization without the Client's prior written consent.
This policy applies to all employees of the Client at all levels, not only those involved in the recruitment engagement.
10. Intellectual Property
All content on the Trustify Partners website, including text, design, graphics, and branding, is the intellectual property of Trustify Partners and is protected by applicable law. You may not reproduce, distribute, or create derivative works from our website content without prior written consent.
Research reports, market intelligence documents, and talent mapping outputs prepared by Trustify Partners remain the intellectual property of Trustify Partners until fees are paid in full. Upon receipt of full payment, a non-exclusive license to use such materials for the Client's internal purposes is granted.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
- Trustify Partners is not liable for any indirect, consequential, or special loss arising from a recruitment engagement, including loss of profit, loss of business, or loss of goodwill.
- Our total aggregate liability to any Client in connection with a specific placement or engagement shall not exceed the fees actually paid to us for that specific engagement.
- We make no warranty that any Candidate introduced will be suitable for the role, or that any placement will result in a successful long-term employment relationship.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
12. Indemnification
The Client agrees to indemnify and hold Trustify Partners harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- The Client's breach of these Terms or any Service Agreement.
- The Client's use of Candidate information in a manner inconsistent with these Terms.
- Any employment decision made by the Client in relation to a Candidate introduced by Trustify Partners.
- The Client's violation of applicable employment law.
13. Website Use
You may use this website for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable law or regulation.
- Transmit any unsolicited commercial communications.
- Attempt to gain unauthorized access to any part of the website or its underlying systems.
- Use automated tools to scrape, copy, or harvest content from the website.
Trustify Partners reserves the right to suspend or terminate access to the website for any user who violates these terms.
Our website may contain links to third-party websites. We are not responsible for the content or privacy practices of those sites.
14. Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or in connection with them, are governed by the laws of the Socialist Republic of Vietnam.
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may refer the matter to the competent courts of Ho Chi Minh City, Vietnam.
Where a Client is based outside Vietnam and a separate Service Agreement specifies a different governing law or dispute resolution mechanism, those provisions take precedence.
15. Changes to These Terms
Trustify Partners reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services following any changes constitutes acceptance of the revised Terms.
Material changes affecting existing Client engagements will be communicated directly in writing with reasonable notice.
